Carnival Corp, the world's largest cruise line, made a hostile bid for P&O Princess in late December. Carnival wanted to undo the planned merger between P&O Princess and Royal Caribbean (RCL). After all, the new shipping company would displace Carnival from the number 1 position. Carnival initially made a friendly offer of 5.1 billion euros for P&O Princess, but the British shipping company immediately rejected it. Carnival promptly responded with a hostile offer that values P&O one billion euros higher than a merger with RC. Carnival argues that its offer is much better than the merger project between P&O and RCL. Carnival is offering 200 pence in cash and 0.1361 Carnival shares per P&O Princess share. This corresponds to a premium of 44% compared to the P&O Princess price for RCL's offer. The latter offers no premium and no cash payment. Moreover, according to Carnival, there is no fair distribution of benefits. P& O Princess shareholders will own 50.4 percent of the merger,
